Третейський суд при Вінницькій торгово-промисловій палаті утворено за рішенням Президії Вінницької торгово-промислової палати від 21 червня 2004 року на підставі Закону України “Про третейські суди” і зареєстровано Вінницьким обласним управлінням юстиції 22 вересня 2004 року.

Третейський суд є недержавною незалежною постійно діючою установою, що утворена для вирішення спорів, які виникають із цивільних та господарських правовідносин.

Третейський суд при Вінницькій ТПП не має статусу юридичної особи.

Завданням третейського суду є захист майнових і немайнових прав та охоронюваних законом інтересів фізичних чи юридичних осіб шляхом всебічного неупередженого розгляду та вирішення спорів відповідно до закону.

Третейський суд провадить свою діяльність відповідно до Закону України “Про третейські суди” та Положення про Третейський суд при Вінницькій торгово-промисловій палаті, затвердженого рішенням Президії Вінницької ТПП від 21.06.2004р. №9.

Порядок та правила вирішення спорів у третейському суді визначаються його Регламентом, затвердженим Президією Вінницької ТПП.

Основні переваги розгляду спору у третейському суді:

• оперативність та швидкість, відсутність бюрократичних та корупційних проявів;
• конфіденційність третейського розгляду;
• право сторін призначати третейських суддів та визначати місце третейського розгляду;
• незалежність третейських суддів, підкорення їх тільки закону;
• остаточний характер рішення та можливість оскарження цього рішення лише з процесуальних підстав, передбачених Законом України “Про третейські суди”;
• негайне набрання чинності рішенням;
• можливість примусового виконання рішення;
• мінімізація витрат на третейський розгляд.

Компетенція Третейського суду при Вінницькій ТПП

На розгляд до Третейського суду може бути передано будь-який спір, що виник з цивільних чи господарських правовідносин, крім випадків, передбачених Законом України “Про третейські суди”та іншими законодавчими актами.

Не можуть передаватися на розгляд Третейського суду:

• справи у спорах про визнання недійсними нормативно-правових актів;
• справи у спорах, що виникають при укладенні, зміні, розірванні та виконанні господарських договорів, пов’язаних із задоволенням державних потреб;
• справи, пов’язані з державною таємницею;
• справи у спорах, що виникають із сімейних правовідносин, крім справ у спорах, що виникають із шлюбних контрактів (договорів);
• справи про відновлення платоспроможності боржника чи визнання його банкрутом;
• справи, однією із сторін яких є орган державної влади, орган місцевого самоврядування, їхня посадова чи службова особа, інший суб’єкт під час здійснення ним владних управлінських функцій на основі законодавства, у тому числі на виконання делегованих повноважень, державна установа чи організація, казенне підприємство;
• справи у спорах щодо нерухомого майна, включаючи земельні ділянки;
• справи про встановлення фактів, що мають юридичне значення;
• справи у спорах, що виникають з трудових відносин;
• справи, що виникають з корпоративних відносин у спорах між господарським товариством та його учасником (засновником, акціонером), у тому числі учасником, який вибув, а також між учасником (засновниками, акціонерами) господарських товариств, пов’язаних із створенням, діяльністю, управлінням та припиненням діяльності цих товариств;
• інші справи, які відповідно до закону підлягають вирішенню виключно судами загальної юрисдикції або Конституційним Судом України;
• справи, коли хоча б одна із сторін спору є нерезидентом України;
• справи, за результатами розгляду яких виконання рішення третейського суду потребуватиме вчинення відповідних дій органами державної влади, органами місцевого самоврядування, їх посадовими чи службовими особами та іншими суб’єктами під час здійснення ними владних управлінських функцій на основі законодавства, у тому числі на виконання делегованих повноважень;
• справи у спорах щодо захисту прав споживачів, у тому числі споживачів послуг банку (кредитної спілки).

Підстави для звернення до третейського суду

Третейський суд приймає до розгляду спори, що відносяться до його компетенції, за наявності між сторонами письмової третейської угоди про передачу всіх або окремих спорів, що виникають або можуть виникнути між сторонами з конкретних правовідносин, незалежно від того, носять вони договірний характер чи ні.

Третейська угода може бути укладена у вигляді третейського застереження у договорі (контракті) або у вигляді окремої письмової угоди. Третейська угода повинна відповідати вимогам Закону України “Про третейські суди”.

Для включення до договорів (контрактів) рекомендується третейське застереження такого змісту:

“Будь-який спір, що виникає з цього договору (контракту) або у зв’язку з ним, зокрема, щодо його тлумачення, виконання, порушення, припинення чи недійсності, підлягає передачі на розгляд і остаточне вирішення до Третейського суду при Вінницькій торгово-промисловій палаті.

Сторони погоджуються з тим, що в процесі розгляду і вирішення спору буде застосовуватись Регламент Третейського суду при Вінницькій торгово-промисловій палаті.”

 

Порядок відкриття третейського провадження, формування третейського суду та третейського розгляду визначається Регламентом третейського суду. Строк третейського розгляду не може перевищувати 60 календарних днів з дня формування третейського суду.

Склад та розмір витрат, пов’язаних з третейським розглядом, порядок їх сплати і розподілу між сторонами визначається Положенням про витрати, пов’язані з третейським розглядом у  третейському суді, яке є невід’ємною частиною Регламенту.

Обов’язковість рішення третейського суду

Рішення третейського суду є остаточним і оскарженню не підлягає, крім випадків, передбачених статтею 51 Закону України “Про третейські суди”.

Рішення підлягає добровільному виконанню зобов’язаною стороною в установлений рішенням строк без будь-яких зволікань чи застережень. Якщо строк виконання у рішенні не установлений, рішення підлягає негайному виконанню. У разі відмови від добровільного виконання рішення воно підлягає примусовому виконанню в порядку, установленому Законом України “Про виконавче провадження”. Порядок видачі виконавчого документа та порядок примусового виконання рішення третейського суду визначається законом.

Організація Третейського суду

Третейський суд очолює голова.

Голова третейського суду має заступника.

Функції з організаційного забезпечення діяльності Третейського суду, а також діловодство здійснює відповідальний секретар.

Третейський розгляд справи здійснюється третейськими суддями, які призначаються сторонами або Головою третейського суду з числа осіб, включених до списку третейських суддів. Нині цей список налічує 8 осіб – визнаних фахівців у різних галузях права, юристів, адвокатів, які  мають досвід третейського розв’язання спорів.

Forensic examination (judicial expertise) is an expert study on the basis of special knowledge of material objects, phenomena, and processes that contain information about the circumstances of a case in the proceedings of preliminary investigation bodies or courts.

Legislation of Ukraine on forensic examination consists of the Forensic Examination Act, Instruction on the Appointment and Conduct of Forensic Examinations and Expert Studies, other regulatory legal acts.

1. Examination to determine the quantity (completeness) of goods:determination of the quantity of bulk cargo in railway cars and tanks using the volume-mass method (using Vinnytsia CCI instruments:

• measuring rods, areometers, samplers);

• determination of the quantity (weight) of goods in railway cars by determining the gross, tare, and net weight;

• determination of the quantity and condition of packaging in vehicles carrying goods (granulated sugar, mineral fertilizers in bags, etc.);

• determination of the completeness and technical condition of equipment arriving in vehicles (experts determine whether the equipment is new or used, determine the degree of wear and tear);

• determining the volume of timber in railway cars and motor vehicles;determining the quantity of consumer goods and raw materials, the completeness of equipment – by recalculation, weighing, and measurement.

2. Examination to determine the quality of food and industrial goods:

• quality of food and industrial goods (selection of samples, formation and sealing of control samples, chemical analysis in independent accredited laboratories);

• quality of food products (organoleptic indicators, sampling for further laboratory analysis to determine physical, chemical, and microbiological indicators);

• quality of industrial goods, including to determine the nature of defects (manufacturing defects or those resulting from improper use by the consumer).

3. Determination of the yield of finished products (raw material consumption rates) during the processing of goods:

• the percentage of the cost of the product for processing in the cost of finished products;

• the yield of finished products from raw materials under the product processing agreement.

4. Non-governmental expertise in the field of state export control:

• identification of industrial groups of goods exported/imported from/to Ukraine in export/import mode by all modes of transport;

• classification of goods as military or dual-use goods in accordance with the terminology defined in the Law of Ukraine “On State Control over International Transfers of Military and Dual-Use Goods”;

• determination of the conformity/non-conformity of goods with the name and description of equipment included in the “Lists of Dual-Use Goods” that can be used for the transfer of conventional weapons, military and special equipment.

5. Determination of the technical condition of household appliances and the quality of consumer goods returned during the warranty period:

• determination of the nature of defects in goods during the warranty period (footwear, furniture);

• determination of manufacturing defects in goods that do not have a warranty period, but according to the law “On Protection of Consumer Rights”, in cases where such defects are present, the consumer has the right to file a claim with the seller within two years;

• determination of defects in custom-made products (furniture, clothing, PVC windows);

• evaluation of products that have undergone dry cleaning.

6. Verification of the compliance of industrial equipment characteristics with the technical conditions of the contract.

7. Determination of the causes of equipment damage and the amount of damage caused.

8. Determination of the value of goods on the domestic market of Ukraine: determination of the wholesale/retail market value of goods on the domestic market of Ukraine; confirmation of the selling price of goods manufactured by the enterprise; determination of the actual market value of goods.

9. Determination of the amount of damage caused.

10. Identification of the goods actually received.

11. Participation in the work of commissions on the destruction of low-quality goods and goods with expired shelf life.

12. Examination to determine the actual yield of sawn timber.

13. Determination of the sole manufacturer of products/services.

14. Consideration of appeals from economic entities engaged in construction (developers) for the provision of an expert opinion confirming the postponement of construction completion deadlines.

15. Confirmation of the fact of enterprise downtime due to economic reasons.

16. Confirmation or refutation of the presence of ozone-depleting substances in goods planned for import or export.

17. Confirmation of individual temporary basic linear fuel and lubricant consumption rates per vehicle mileage.

A Certificate of Origin is an important international trade document that certifies that goods in a particular export shipment are wholly obtained, produced, manufactured or processed in a particular country. They also serve as a declaration by the exporter.

Vinnytsia CCI issues certificates of origin of the following forms:

• General purpose certificate to the EU (in English);
• General purpose certificate (in Russian);
• ST-1 certificate (in Russian);
• Form A preferential certificate under the General System of Preferences (EU countries, Japan, Turkey, USA);
• U-1 certificate for the customs territory of Ukraine;

Barcoding is an internationally accepted means of labeling. A barcode uniquely identifies the product and the manufacturer or distributor. The presence of a barcode on the product allows you to automate accounting, cash management services and is necessary for automation of transportation and sales processes.If the goods are marked with a barcode, its competitiveness increases significantly.

A barcode is a combination of vertical strips and numbers (the location of which is regulated by certain rules), which represents a particular product in the coded form. The code allows you to read information about a product quickly and accurately using an electronic device, a scanner. The global system of commodity numbering GS1 is an integrated system of world standards provides accurate identification of goods, services and trade partners, as well as information communications on them.

The GS1 system is the common world language of trade relations in any industry and in any country.

GS1 coordinates the whole work of the world commodity numbering and it is responsible for the numbers identification uniqueness. GS1 Ukraine is a member of GS1 and it is the official representative in Ukraine.

Barcoding Department of Vinnytsia CCI serves as a GS1 Ukraine representative in the territory of Vinnytsia region in accordance with the Trust Representative Office Agreement No. 01/2005 of December 26, 2005.
